Richard Thomasson is our Senior Partner. He graduated from William & Mary with a degree in Accounting and the University of North Carolina with a law degree. He is a former C.P.A. and practiced tax law with a national accounting firm. We specialize in representing small businesses and their owners and officers. New clients usually start with the formation of the business entity. We offer counseling as to the tax consequences of doing business in the available entities and federal tax elections. We have experience in drafting and editing leases, buy-sell agreements, shareholder agreements, sale of assets, joint venture agreements and other agreements, which may become necessary as the business entity matures and grows. Our senior partner has served as a director, member of the executive committee and various other positions as needed by clients this experience combined with his experience as a C.P.A. , is available to counsel clients of the firm. Representation of business clients requires the ability and experience to litigate when needed whether our clients are named as a Defendant or need to file a lawsuit on behalf of our client as a Plaintiff. We have experience in contract disputes, shareholder disputes, RICO defense, securities litigation, adversary actions in bankruptcy court, tax issues in the United States Tax Court and the United States Court of Claims and administrative hearings before Regulatory Agencies. Our specialty is small business chapter 11 reorganizations under the Bankruptcy Code. The Bankruptcy Codes definition of a small business is a company, which has debts not more than $2,490,925.00.
